Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FSJR TRUCKING LLC, doing business as FSJR Freight ("Company," "we," "us," or "our"), governing your access to and use of our website located at www.fsjrfreight.hair and all related services, features, content, and applications (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

FSJR Freight provides professional computer systems design and related services, including but not limited to:

  • Computer integrated systems design and implementation
  • Technical consulting and advisory services
  • System architecture and engineering services
  • Cybersecurity and compliance solutions
  • Project management and implementation services
  • Managed services and technical support
  • Specialized design and development services

Specific service terms, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

4. Use of Services

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

4.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services for any fraudulent, malicious, or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to our systems or networks
  • Transmit viruses, malware, or other harmful code
  • Engage in data mining, scraping, or automated data collection
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Remove or modify any proprietary notices or labels
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, or harm other users or our personnel
  • Use the Services to compete with or create derivative works

4.3 Prohibited Activities

The following activities are strictly prohibited:

  • Uploading or transmitting illegal, harmful, or offensive content
  • Infringing on intellectual property rights
  • Engaging in spamming or unsolicited marketing
  • Collecting personal information without consent
  • Circumventing security measures or access controls
  • Using the Services for any illegal or unethical purpose

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, functionality, software, designs, graphics, logos, trademarks, and other materials provided through our Services are owned by FSJR Freight or our licensors and are protected by United States and international intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from our intellectual property without our express written permission.

5.2 User Content

You retain ownership of any content, data, or materials you provide to us ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our Services.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us an unrestricted, perpetual right to use and incorporate such feedback without compensation or attribution.

6. Payment and Fees

6.1 Pricing

Pricing for our Services will be specified in service agreements, proposals, or invoices. All fees are quoted in United States Dollars (USD) unless otherwise stated.

6.2 Payment Terms

Payment is due according to the terms specified in your service agreement. Standard payment terms are net 30 days from invoice date unless otherwise agreed in writing.

6.3 Late Payments

Late payments may be subject to interest charges of 1.5% per month (or the maximum rate permitted by law, whichever is lower) and may result in suspension of services.

6.4 Taxes

All fees are exclusive of applicable taxes, duties, and governmental charges. You are responsible for paying all such amounts unless you provide a valid tax exemption certificate.

6.5 Refunds

Refund policies will be specified in individual service agreements. Generally, fees for completed services are non-refundable.

7. Confidentiality

7.1 Confidential Information

Both parties may have access to confidential information during the course of our relationship. "Confidential Information" includes business plans, technical data, customer information, financial information, and any information marked as confidential.

7.2 Obligations

Each party agrees to:

  • Maintain the confidentiality of the other party's Confidential Information
  • Use Confidential Information only for authorized purposes
  • Limit access to those with a legitimate need to know
  • Protect Confidential Information with the same care used for its own confidential information
  • Return or destroy Confidential Information upon request or termination

7.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of these Terms
  • Was rightfully known prior to disclosure
  • Is independently developed without use of Confidential Information
  • Is rightfully received from a third party without restriction
  • Must be disclosed pursuant to legal requirement

8. Data Protection and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials and systems.

9. Service Level and Availability

9.1 Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may suspend or modify Services for maintenance, updates, or other operational reasons.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of Services.

9.3 Support

Technical support terms, including availability, response times, and scope, will be specified in your service agreement.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in service agreements.

10.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Services will be accurate or reliable
  • Any errors or defects will be corrected

11. Limitation of Liability

11.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FSJR FREIGHT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS GREATER.

11.3 Exceptions

The limitations in this section do not apply to:

  • Liability for gross negligence or willful misconduct
  • Liability for personal injury or death caused by our negligence
  • Liability that cannot be excluded or limited by applicable law
  • Breaches of confidentiality obligations

12. Indemnification

You agree to indemnify, defend, and hold harmless FSJR Freight, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your User Content or any content you submit
  • Your breach of any representations or warranties

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our Services. Service-specific terms will be governed by individual service agreements.

13.2 Termination by You

You may terminate your account at any time by contacting us at contact@fsjrfreight.hair. Termination does not relieve you of payment obligations for services already rendered.

13.3 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Any reason at our sole discretion

13.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • You remain liable for all outstanding fees and obligations
  • We may delete your account and User Content
  • Provisions that by their nature should survive termination will continue to apply

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

14.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved through negotiation shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Arbitration shall take place in Los Angeles County, California. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and FSJR Freight individually. You waive any right to participate in class actions, class arbitrations, or representative actions.

14.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to conflict of law principles.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending email notification to registered users
  • Displaying a prominent notice on our website

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Services.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and FSJR Freight regarding the Services and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental actions.

17.6 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.
